Job Description:
A publicly held holding company specializing in property and casualty insurance is seeking a Senior Vice President of General Counsel and Corporate Secretary. This pivotal leadership role will serve as the company’s top legal advisor and play a key role in shaping its corporate culture and strategic direction. As a trusted partner to the executive leadership team, this individual will provide legal and business counsel across all aspects of the company's operations. This position involves overseeing legal, corporate governance, compliance and human resources to ensure the company operates with integrity and transparency. This is a retained search.

Responsibilities:

• Contribute to the company’s strategic plan and business policies as a member of the executive leadership team.
• Provide legal counsel to the Chief Executive Officer, executive leadership and board of directors on regulatory, governance and business matters.
• Advise on business decisions, employment matters, agency/broker relationships, litigation and regulatory compliance.
• Manage relationships with external legal counsel on legal and regulatory issues.
• Ensure adherence to SEC disclosure obligations and manage relationships with state insurance regulators.
• Oversee compliance with insurance, corporate governance and financial transactions, including mergers and acquisitions.
• Guide human resources policies, talent management and compliance with employment laws.
• Prepare for and conduct board and committee meetings; interact with external auditors and consultants.

• Juris Doctor and a bachelor’s degree required
• 15+ years of progressive corporate law experience, including at least 10 years in insurance law
• Strong knowledge of contract review, litigation, regulatory compliance and human resources legal matters
• Experience interacting with a board of directors
• Public company, and mergers and acquisitions experience (preferred)
• Prior experience managing legal and compliance teams (preferred)
